Entity Formation

When you use my firm to assist you in the formation of a legal entity, you will be receiving the advice and assistance of a licensed attorney, with years of experience. Most importantly, you will receive an entity that is fully and legally formed and capable of withstanding scrutiny from creditors in order to protect your assets.

Unlike the Internet entity formation companies that do the basic formation and then simply send you fill in the blank forms, we complete the job. The only thing you need to do is sign documents.

All of our entity formation services include:

• Basic formation (articles of incorporation/organization).
• Preparation of the organizational documents (minutes and bylaws/operating or partnership agreement).
• Obtaining an EIN number.
• Preparation of statement of information or similar document.
• Preparation of S-Election form (for S-Corporation).
• Ensuring compliance with any State securities requirements for exempt transactions.
• Basic forms package (NDA, lease agreement, employment agreement, etc.).

Fees

You pay our basic fee plus any third party filing, registration and others fees unique to that jurisdiction (est. $100-$200).

All other work will be billed at hourly rates of $225.00, subject to additional discounts pursuant to retainer agreement.
